The Navajo Transitional Energy Company, LLC (NTEC) is accepting applications for the following position, which is open until filled or otherwise closed by NTEC in its sole discretion:

Position Description:

NTEC's General Counsel (GC) will oversee all legal matters of the Company and serve as the primary legal advisor to the CEO, NTEC's senior management team, and the NTEC Management Committee. The GC will (1) be responsible for general legal matters of the Company; (2) be the Custodian of Corporate Records; (3) be the primary interface with the Company's broker and the Navajo Nation on bond procurement and maintenance and insurance matters; (4) liaise with the NTEC Management Committee on preparation of Committee resolutions, minutes and records; (5) be responsible for regulatory and permit issues, in coordination with the Contract Miner and outside counsel, as appropriate; (6) work with the Governmental and External Affairs Director on tribal issues and media relations; (7) be the manager and fiduciary of the Company's benefits programs; (8) carry out special projects as assigned by the CEO; (9) manage and coordinate activities of the Company's outside counsel; and (10) perform other legal duties as assigned.

The following are the minimum qualifications:


Juris Doctor of Law (JD) from an accredited university


Licensed to practice law on the Navajo Nation and in one or more of the states of New Mexico, Arizona or Utah. If not already licensed in New Mexico, successful candidate will need to get New Mexico licensure within one (1) year of hire.


-At least 15+ years of legal experience gained through a combination of major law firm, government legal department, and in-house experience as a general counsel or senior managing in-house counsel

-Substantial knowledge of and experience in corporate law, federal Indian law and Navajo Nation tribal law

-Substantial knowledge of coal and other energy and natural resource matters on the Navajo Nation and in the Four Corners area

-Experience interacting with and/or managing Board operations, including preparation of materials for Board meetings; influencing the structure of agendas; and advising on various issues such as corporate governance and fiduciary duties, ethics and compliance, and strategic transactions

-Experience effectively developing and implementing strategy, in partnership with outside counsel as appropriate, to address complex litigation and regulatory inquiries

-Executive leadership and ability to see and handle more than the legal issues of a project; strong, pragmatic business acumen with the ability to recognize the business consequences of legal advice; a strategic and innovative thinker who can develop and articulate a clear understanding of the organization's strategy from all perspectives and find creative solutions to complex legal problems

-A demonstrated ability to be an effective leader within an established legal department

-Excellent interpersonal skills and the ability to communicate and interact effectively at all levels of the organization; requires gravitas, judgment and self-confidence but also respect for others, regardless of position, and willingness to work as a team member

-Personal credibility and the ability to articulate legal positions and strategies concisely and quickly, in a manner that is useful and easily understood by the client

-Experience with compliance-related issues and demonstrated ability to effectively communicate and enforce compliance and legal policies and procedures

-Proven track record of strong negotiation, communication, organizational, and people management skills and the ability to influence and build relationships without direct authority.

-Able to apply principles of critical thinking to a variety of practical and emergent situations and accurately follow standardized procedures that may call for deviations

-Able to apply sound judgment beyond a specific set of instructions and apply knowledge to different factual situations, with strong attention to detail

-Able to work under stress on a continuous basis

Working Conditions:Typical office environment with occasional travel to various locations
